SUPPLIER CODE OF CONDUCT

- INTRODUCTION
This Supplier code of conduct integrates the essential values and behaviours which our Suppliers must comply with, and they should conduct their activities at all times in accordance with responsible business practices for the supply chain and integrate and apply the said principles regarding human rights, ethics, labour, health and safety, environment and management systems related to their commercial operations. This is the policy of FARMHISPANIA GROUP, S.L. and its affiliates (hereinafter, FARMHISPANIA GROUP), whose activity is the manufacture of active ingredients.
Therefore, the Supplier commits to:
- Operate business ethically and with integrity.
- Defend the human and labour rights of their workers and treat them with dignity and respect.
- Provide a safe and healthy work environment for their employees, contractors and sub-contractors.
- Operate in an environmentally responsible and efficient manner to minimise adverse effects on the environment.
- Use management systems to maintain compliance with the good Responsible Business Practices which are listed hereafter.
Suppliers must always respect the local laws and regulations which apply to them.
- ETHICS
Suppliers must conduct their business ethically and act with integrity.
Antibribery and corruption
Suppliers undertake to comply in their daily activity with the laws and regulations that apply to them. Suppliers will interact with public and private entities, in a lawful and ethical manner.
Any type of bribery, extortion and embezzlement is prohibited. Suppliers or anyone acting on their behalf cannot offer, receive, or pay a bribe.
Fair competition
Suppliers will comply with the applicable competition regulations, avoiding at all times to carry out any conduct which may distort or restrict competition or any conduct that may represent an act of unfair competition.
Confidentiality and protection of personal data
Suppliers must protect and only make an appropriate use of confidential information to ensure the privacy rights of the company and the worker are protected. Suppliers must comply with the relevant privacy and data protection laws, and ensure the protection, security and lawful use of personal data.
Those Suppliers which must exchange confidential information with FARMHISPANIA GROUP are obliged to formalise a confidentiality agreement, and when applicable, protection of personal data in accordance with current regulations.
Suppliers must protect confidential information, and if applicable, include personal data collect for or from FARMHISPANIA GROUP, and act to prevent its loss, misuse, theft, fraudulent use, unauthorised access, disclosure or modification, including the unauthorised communication and/or publication of information obtained from or on behalf of FARMHISPANIA GROUP.
Conflicts of Interest
Conflict of interest is understood to be any situation in which it can be considered that a personal/private benefit or interest may influence the decisions of Suppliers related to the fulfillment of their obligations with FARMHISPANIA GROUP, and said benefit or personal/private interest could enter in conflict with the interests and values of FARMHISPANIA GROUP.
- HUMAN AND LABOUR RIGHTS
Suppliers must be committed to defend workers’ human and labour rights and to treat them with dignity and respect.
Free choice of employment
Suppliers must reject forced labour, bonded labour, with a contract of forced performance, involuntary prison labour, as well as any other type of forced labour. Employees will not be required to submit their passports or other legal documents not justified in accordance with current regulations, nor will they be required to pay a fee to the company before starting the employment relationship.
Child labour and young workers
Suppliers must respect the rights of children and reject child labour, as well as respect the minimum age of the legal framework in the corresponding country.
No discrimination
Suppliers must effectively offer and promote a workplace free of any form of discrimination. No discrimination based on race, colour, age, gender, sexual orientation, ethnicity, disability, religion, political opinion, union membership or marital status can be tolerated.
Dignified treatment
Suppliers shall provide workers with a work environment free of cruel and inhuman treatment, including sexual harassment, sexual abuse, corporal punishment, physical or psychological intimidation or verbal abuse; and without threats to use this type of treatment.
Salaries, benefits and working time
Suppliers’ working hours will not exceed what is established by law in each country at all times. Suppliers must remunerate their workers in accordance with the applicable local laws and in accordance with the agreements that apply to them, taking into account the minimum wages, overtime and benefits required by the law in force in their field.
Freedom of association
Suppliers must respect the rights of workers, as established in the applicable laws and regulations, in terms of free association, freedom of decision on whether or not to join unions, seeking representation and participation in workers’ committees. Workers must be able to communicate openly with their hierarchical superior, issues related to working conditions without fear of retaliation, intimidation or harassment.
- HEALTH AND SAFETY
Suppliers will have good health and safety practices throughout their supply chain in order to achieve a high level of security in their facilities, products and services, paying special attention to the protection of their employees, contractors, customers and local environment.
Suppliers must comply with all applicable health and safety regulations in force in the countries in which they operate.
Worker protection
Suppliers must protect workers to avoid exposure to chemical, biological and/or physical risks in the workplace. Suppliers must identify, evaluate and adopt the measures identified as necessary for the prevention of risks in the workplace, in addition to investigating and establishing corrective measures regarding accidents and incidents that occur to avoid their repetition.
Process safety
Suppliers must have programmes in place, consistent with the risks of the installation, aimed at avoiding or mitigating risks related to their processes that may have consequences for people and/or the environment, such as unintended emissions, chemical spills, etc. associated with its operations and processes.
Occupational hazards
Safety information must be provided in relation to occupational hazards associated with workplaces, tasks, facilities, processes and equipment, such as those related to the handling of hazardous materials, in order to inform, train and protect workers faced with these risks.
Preparation and response for emergencies
Suppliers must identify and evaluate emergency situations that may occur in the workplace, as well as minimise their impact through prevention and implementation of emergency plans.
The Supplier must be prepared to face emergency situations in its facilities, with passive protection elements, as well as response and evacuation procedures, conducting drills and training workers.
- ENVIRONMENT
Suppliers must carry out their activity in an efficient and environmentally responsible manner, so as to minimise the possible adverse environmental repercussions in the environments in which they operate and those that may be affected by their activity.
Suppliers must comply with all applicable environmental regulations in force in the countries in which they operate.
Environmental authorisation
Likewise, in compliance with current legislation applicable to their activity, they must have authorisation or permits, licenses and records of information and restrictions necessary in environmental matters, observing their operational and information requirements, for the development of their activity.
Resource consumption
Suppliers must carry out responsible consumption and management of the resources necessary for the exercise of their activities, including good practices in their management of energy consumption and raw materials.
Waste
Suppliers must have systems to guarantee the adequate management of their waste, including its handling, movement, storage and disposal. This management must incorporate circular economy criteria, minimising its generation at source, reuse and recovery.
Emissions
Suppliers must have systems for managing their atmospheric emissions and wastewater discharges, whatever the receiving environment, incorporating circular economy criteria and complying with current legislation in the countries in which they operate.
Preparation and response for environmental emergencies
Suppliers must identify and evaluate the environmental impact of emergency situations that may occur in their production facilities, to minimise their impact through their prevention and the implementation of emergency plans.
In particular, and with regard to the environment, Suppliers must have systems aimed at avoiding and mitigating spills and/or accidental emissions to the environment.
- MANAGEMENT SYSTEMS
Suppliers must make use of management systems to facilitate continuous improvement and fulfillment of the expectations included in these principles.
Commitment and responsibility
Suppliers must demonstrate their commitment to the points described in this document by allocating the necessary resources.
Legal and customer requirements
Suppliers must identify and comply with the laws and regulations in general that apply to them and with the pertinent requirements of the client.
Risk management
Suppliers must have the mechanisms for prevention, detection and management of the identified risks that are necessary to ensure compliance with the commitments included in this Code.
Documentation
Suppliers will keep the necessary documentation to demonstrate compliance with the expectations set forth herein, as well as compliance with the applicable regulations and guidelines.
Training and competence
Suppliers must have an appropriate training program for their employees to reach an adequate level of knowledge, capabilities and skills to meet the described requirements.
Continuous improvement
Continuous improvement of Suppliers is expected through the establishment of performance objectives, the realisation of implementation plans and the execution of corrective measures necessary to repair the deficiencies identified, through internal or external evaluations, inspections and management reviews.
Identification of non-compliance
Suppliers must promote among their workers the information of their concerns, doubts, illegal activities or breaches of these Principles in the workplace without threat or retaliation, intimidation or harassment. In the event that it occurs, Suppliers must investigate these situations and take any necessary corrective actions.
